                                   Memorandum of Understanding

                                                     between

                                             the State of Queensland
             acting through the Department of Environment and Heritage Protection, the Department
               of Agriculture and Fisheries ('DAF') and the Department of National Parks, Sport and
                                                  Racing (‘State’)
                                                        and
                                       the Noosa Shire Council (‘Council’)
                                                        and
                              the Noosa Parks Association, Incorporated (‘NPA’)
                                                        and

                                      HQ Plantations Queensland (‘HQP’)

            ITIS AGREED as follows:
            1.   SCOPE OF THE MEMORANDUM OF UNDERSTANDING (‘MOU’)
                  1.4  The objective of this MOU is to reflect’an intention between the parties to:
                       1.1.1   convert the Yurol and Ringtail State Forests as delineated on the Plan
                               (Schedule 3) to protected area tenure/s as is better detailed in the Proposed
                               Obligations of the Parties and Terms of Reference; and
                       1.1.2   to enter into 2 formal binding legal agreements which will oblige them to do
                               what Is required on their respective parts to achieve that.
                  1.2  For the purposes of this MOU the subject parts of the Yurol and Ringtail State Forests,
                       which are delineated on the Plan (Schedule 3), are defined as follows:
                       1.2.1.  Plantation Licence Area (PLA), which comprises approximately 1,492 ha of
                               State Forest subject to one or more plantation licence/s in favour of HQP under
                               the Forestry Act 1995. The area/s subject to the PLA is further categorised as
                               follows:
                               (a)  Hardwood PLA made up of primarily Gympie Messmate;
