12.5     Assignment
ZEN Inc. cannot assign its obliga�ons, and agrees not to assign its rights, under this Agreement
without the Council's prior writen approval.     ·

12.6     Applicable law and jurisdic�on
    a)    This Agreement is to be construed in accordance with, and any mater related to it, is to be
          governed by the law of Queensland.
    b)    The par�es submit to the jurisdic�on of the courts of that State.

12. 7 Survival
All of the provisions of clause 8 of this Agreement shall survive the termina�on of this Agreement.

12.8 Amendments
This Agreement can only be amended by an instrument in wri�ng signed by both par�es.
