  The parties covenant and agree:
        1.     DEFINITIONS AND INTERPRETATION
         1.1   Definitions

        In this Deed, unless inconsistent with the context or subject matter:
               (a)    Association means Noosa Parks Association Inc. ABN 18 870 049
                      909;
               (b)    Council means Noosa Shire Council ABN 97 969 214 121;
               (c)    Deed means this Funding Deed;
               (d)    Department    means   the  State  of  Queensland   Department   of
                      Environment & Science ABN 46 640 294 485;
               (e)    GST means a goods and services tax or any similar tax, levy or impost
                      imposed by the Commonwealth of Australia;
               (f)    GST Law means A New Tax System.(Goods and Services Tax) Act
                      1999 (Cth);
               (g)    NCA means the Nature Conservation Act 1992 (Qld)
               (h)    HQP means HQ Plantations,Pty Ltd. ACN.142 448 977;
               (i)    HQP Licence means.,a   licence issued by the State to HQP to harvest
                      timber under the Forestry Act 1995;
               (j)    HQP Licence Area means the area detailed in Schedule 2;
               (k)    NPA   Project..Contribution   means the    amount of $1,166,666
                      (excluding GST) payable by the Association to the State under the
                      State Feeding Deed as its share of the acquisition costs of the HQP
                      Licence harvest rights held under the Forestry Act 1995;
               (I)    NPA Project. Contribution Pre-Payment means the amount of
                      $625,000 paid by Council to the State on behalf of the NPA and re-
                      payable by the Association to Council under this Funding Deed.
               (m)    NPA Project Rehabilitation Contribution means up to $625,000
                      (excluding GST) payable by the Association to Council;
               (n)    Project means the Yurol and Ringtail Forest Conservation Project
                      which is detailed in Schedule 1;
               (0)    State Funding Deed means an agreement entered into between the
                      State, Council, the Association and HQP for the delivery of the Project
                      including a right to enable the State to acquire certain harvest rights
                      held by HQP within the Yurol and Ringtail State Forests as provided at
                      Schedule 3.
               (p)    State means the State of Queensland acting through the Department
                      of Agriculture and Fisheries ABN 66 934 348 189 and the Department
                      of Environment and Heritage Protection ABN 46 640 294 485;
