        (c)       a special resolution is passed materially altering clause 4.1.

19.8    Invitation to donate to the Gift Fund

        The Trust invites the public to make Gifts to the Gift Fund.

19.9    Gift Fund forms part of the Trust

        To avoid any doubt, it is declared that the Gift Fund forms part of the Trust and is bound by this
        deed.

19.10 Agreement to abide by Ministerial Rules

        The Trust agrees to comply with any rules that the relevant Commonwealth Minister responsible
        for the environment and Commonwealth Treasurer impose and ensure that Gifts made to the Gift
        Fund are used only for its principal purpose.

19.11 Statistical information

        (a)       The Trust agrees to provide any statistical information that is requested by the
                  Commonwealth department responsible for the environment on donations to the Gift
                  Fund within the four months of the end of the financial year.

        (b)       An audited financial statement for the Trust and Gift Fund will be supplied with the
                  annual statistical return. The statement will provide information on the expenditure of
                  the Gift Fund monies and the management of the Gift Fund assets.


20      Governing law

20.1    Applicable law

        This deed is governed by the laws of Queensland.

20.2    Situs of Trust

        The situs of the Trust and of the Trust Fund is deemed to be Queensland.
