              (v) any disclosure that the disclosing parties reasonably believes is required
                      by any law.

31. Applicable Law

       (a) This Lease agreement is governed by the law of Queensland, Australia.

32. Entire Agreement

       (a) This agreement constitutes the entire agreement between the parties and
supersedes all prior representations, agreements, statements and
understandings, whether oral or in writing.

33. Waiver of Conditions

       (a) Except as provided at law or in equity or elsewhere in the Lease, none of the
terms of the Lease shall be varied, waived, discharged or released, except with
the prior consent in writing of both parties in each instance

       (b) Failure by the Lessee or the Lessor at any time and from time to time to enforce or
require strict compliance with, or performance of any terms of the Lease will not
constitute waiver of, or affect, or impair such terms in any way, nor shall such
failure affect the right of the Lessee or the Lessor to avail itself at any time of such
remedies it may have for any subsequent breach of the terms by the Lessor or the
              Lessee.

34. Severability

In the event of any part of the Lease being or becoming void or unenforceable then that
part will be severed from the Lease so that all parts that will not be or become void or
unenforceable will remain in full force and effect and be unaffected by any severance.

35. Taxes, Duties and Charges

35.1 GST

       (a) In this clause 35:

              (i) "GST Act" means A New Tax System (Goods and Services Tax) Act 1999
(Cth) and any related tax imposition Act (whether imposing tax as a duty of
customs excise or otherwise) and includes any legislation which is
enacted to validate recapture or recoup the tax imposed by any of such
                      Acts;

(ii) "Representative" means a representative member of a GST group to
which the relevant supplier belongs; and

(iii) the expressions "adjustment note", "consideration", "GST", "input tax
credit", "supply", "tax invoice", "recipient" and "taxable supply" have the
meaning given to those expressions in the GST Act.

                                                                                                    22

Section 24

       (b) Unless otherwise expressly stated, all prices or other sums payable or
consideration to be provided under the Lease are exclusive of GST.

       (c) Despite any other provision in the Lease, if GST is imposed on any supply made
under the Lease, the recipient must pay to the supplier an amount equal to the
GST payable on the taxable supply.

       (d) The recipient must pay the amount referred to in clause 35(c) in addition to and at
the same time as payment for the taxable supply is required to be made under the
              Lease.

       (e) If the amount of GST paid or payable by the supplier on any supply made under
the Lease differs from the amount of GST paid by the recipient, because the
Commissioner of Taxation lawfully adjusts the value of the taxable supply for the
purpose of calculating GST, then the amount of GST paid by the recipient will be
adjusted accordingly by a further payment by the recipient to the supplier or the
supplier to the recipient, as the case may be.

       (f) If the Lease requires a party to reimburse or indemnify the other party for any
expense, loss or outgoings ("reimbursable expense") the amount required to be
reimbursed or indemnified by the first party will be the amount of the reimbursable
expenses net of input tax credits (if any) to which the other party is entitled in
respect of the reimbursable expense ("net amount") provided that should the
reimbursement or indemnity be subject to GST, the net amount shall be increased
              in accordance with clause 35(c).

       (g) A valid tax invoice or adjustment note must be delivered by a supplier to the
recipient before the supplier is entitled to payment of an amount under clause
35(c). The recipient can withhold payment of the amount until the supplier
provides a valid tax invoice or adjustment note as appropriate.

       (h) The Lessee is authorised to withhold from payments to the Lessor, such amounts
as are required under the Pay as You Go (PAYG) system.

       (i) If the Lease requires the calculation of a price by the addition of a percentage
margin to another rate or price, the percentage shall be applied to the rate or price
exclusive of GST (or where the rate is expressed as being GST inclusive, then
less any input tax credit the supplier is entitled to claim in respect of that item).

       (j) In the event that liability for payment of GST in respect of a supply under the
Lease is imposed upon a representative of a supplier this clause 35 shall
nonetheless apply and any amounts to be calculated pursuant to clauses 35(c)
and 35(e) shall be calculated in all respects as if the supplier was liable for the
GST imposed on such supply and entitled to input tax credits properly allocated to
              the making of that supply.

35.2 Taxes, Duties and Charges

       The Lessor shall:

       (a) pay and indemnify the Lessee against all sales tax, customs duties, stamp duties,
goods and services tax and other duties, charges, taxes or imposts payable in
connection with the supply of the Services; and

       (b) provide all security required under any Legal Requirement as security for the
payment of any duties, charges, taxes or imposts.

                                                                                                23

Section 25

35.3 ABN withholding

       (a) Where the Lessee may become obliged under any Legal Requirement to withhold
any amount on account of tax or other imposts from any amount payable to the
Lessor under or in connection with the Lease unless certain conditions (including
without limitation the provision by the Lessor of an Australian Business Number)
are met, the Lessee may withhold the amount required to be withheld under the
law or Legal Requirement until the Lessee is satisfied in its reasonable opinion
that all the relevant conditions have been satisfied.

       (b) If the Lessee for any reason becomes liable to pay an amount referred to in
             clause 35.3(a):

             (i) the amount paid by the Lessee to Authority shall be taken to have been
paid by the Lessee to the Lessor on account of and in satisfaction of
amounts payable under the Lease; and

(ii) if the amount paid by the Lessee exceeds any amounts payable by the
Lessee to the Lessor under the Lease, the amount of the excess shall be
a debt due from the Lessor to the Lessee.

                                                                                             24

Number of buses:

The Lessor will be responsible for calculating the optimal number of electric buses required
to perform the route 627 timetable at the current frequency and service span. The working
timetable for route 627 is contained in the Invitation to Tender Attachment 10 including all
route variants. TransLink may consider some trip shifting if this will result in reducing the
number of buses required. GTFS files for the route 627 alignment and stop locations are
available at http://translink.com.au/about-translink/open-data

In determining the optimal number of buses required, the Lessor is expected to consider at a
minimum the impact of local Noosa operating conditions on battery range taking into
consideration:

Messages relating to services across the TransLink network should be coordinated by the
TransLink Division to ensure consistency and accuracy.
The following factors are essential for TransLink's stakeholder reputation and operational
success:
   e Beresponsive to the media.
« Secure accurate and appropriate information quickly.
¢ Maintain a duty of care to passengers by anticipating and meeting their information

Proactive and reactive media - operators
TransLink Division is responsible for ail media relating to services across the Queensland
 public transport network.
It is the role of the TransLink media team to coordinate all contact with the media and ensure
information is consistent, accurate and appropriate.
Transport operators are required to progress all media enquiries and opportunities to the
TransLink media unit. This serves to not only present a united, consistent and professional
approach across TransLink services, but offers greater media opportunities for small
 operators.
Importantly, TransLink recognises that there are times when it may be appropriate and
deliver a better outcome for our operators to engage with the media without the
 involvement of TransLink media.
In these instances, it is imperative that enquiries are progressed thraugh to the
TransLink media team in order to formulate appropriate responses and seek the
relevant approvals. TransLink may then advise the operator to provide the response
 directly to the media.

Proactive and reactive media — stakeholders
TransLink Media has a responsibility to ensure that our stakeholders (including DG TMR,

                                                                                                52

Deputy Premier and, where required, Premier) are aware of any upcoming announcements
and opportunities associated with projects and initiatives where the department has been
involved (6.9. funding contribution or grant, joint operations, joint project delivery or joint
governance).
TransLink media coordinates media announcements between the government, the
department, and other stakeholders, which includes operators and councils.
The role of TransLink media is to ensure all parties have the opportunity to:
¢ be included in media materials and events
e be given the opportunity to provide comment for inclusion
¢ be given the opportunity to approve and fact check materials
¢ be given the opportunity to provide specific distribution requests (provide media
      release to Southern Star News).
Where there is a joint funding agreement or there is joint involvement with the department,
any media materials including releases and responses should be sent to TransLink for
approval, prior to distribution to media outlets.
Likewise, TransLink media has a responsibility to ensure that stakeholders have the
opportunity to review and provide input for any media materials prepared by the department,
that reference the stakeholders’ involvement, prior to issuing to media outlets.
Importantly, TransLink recognises that there are times when it may be appropriate and
deliver a better outcome for stakeholders to engage with the media without the
involvement of TransLink media.
In these instances, it is imperative that enquiries relevant to TransLink/TMR are
progressed through to the TransLink media team for advice and potential formulation
of approved input to address the TransLink components of an enquiry. Depending on
the enquiry, TransLink will work with the stakeholder to determine whether the
stakeholder would be better placed to provide the response directly to the media.

POLICY BACKGROUND

The Media Relations Policy should be considered as one of several components of a broader and
more strategic future Communications and Community Engagement Policy.
The framing of this-broader strategic policy will be critical to the Council in fulfilling its election
platform of being more connecied and engaged with its community.
Whilst the broader and more strategic parent policy requires very careful and considered
development in consultation with [he Noosa community, the need for the component Media
Relations Policy is urgent and immediate given its Impact is from the outset of operations of the
new Council.
The media play a vital role not only in ensuring a two way flow of information, and opinion between
the Council and the community, but also in ensuring Council operations and decision making are
transparent and accountable.
The policy establishes the guidelines for how Council's elected members and staff will interact with
the media. It is designed to ensure that in all dealings with the media, the Council acts in a
professional, coordinated manner and that all statements made and information provided are
accurale, appropriate and timely.

releases or statements, letters to the editor, responding to media enquiries over the phone and via
email, interviews or briefings, disclosing information to the media, comments on talkback radio,
addressing a seminar or conference where the media are present.

Schedule 12: Energex Requirements

Project Name: Noosa Council Project Number: R0506688
The following conditions of supply will apply with the ENERGEX's offer:
     Power Quality Conditions

         1. The emission limits by the load will be required to comply with the following
            Australian/New Zealand Standards:
AS/NZS 61000.3.6:2001- Limits — Assessment of emission limits for
distorting loads in MV and HV power systems.

AS/NZS 61000.3,.7:2001- Limits - Assessment of emission limits for
distorting loads for fluctuating loads in MV and
                                         HV power systems.
IEC /TR 61000-3-14 : Assessment of emission limits for harmonics,
                                         interharmonics, voltage fluctuations and
unbalance for the connection of disturbing
                                         installations to LV power systems
HB 264-2003 — Hand Book in Power Quality
Compatibility levels for Pst and Pit in LV power system are 1.0 and 0.8
             respectively (Table 1 of AS/NZS 61000.3.7:2001).
Refer Sections 1.1 and 1.2 for a typical customer emission limits derived
based on user agreed total maximum demand of up to 1.5 MVA. Site specific
limits will be available on request.
         2. All motor loads cannot be started simultaneously and the starting current of
the motors must be limited to 2-3 x full rated current by fitting with an
            appropriate starters.
         3. ENERGEX approval to connect the loads is conditional upon the attached
Network Connection Contract and this agreement to rectify any interference
that may occur in practice. This would require Noosa Council to take
immediate steps to remedy the situation in a short time frame. The cost of any
mitigation measures would be borne solely by the Noosa Council.
4, On the completion of all the electrical load installation, further site
measurement at the PCC/POC will be required to confirm emission limits due
to distorting/ fluctuating loads. Please contact ENERGEX after the
commissioning of the new load(s) for ENERGEX to follow up on
             measurements.
         5. ENERGEX stress that should the approved electrical loads be exceeded, this
will result in poor voltage regulation to other customers connected to the 11kV
feeder NVL284, Should this occur, ENERGEX will take action to limit the
             supply to the Noosa Council.

                                                                                                               65

1.4 Power factor requirements (Rule $5.3.5)
       (a) If the power factor falls outside the relevant performance standard (as
outlined below) over any critical loading period nominated by
ENERGEX, the Customer must, where required by ENERGEX in order
to maintain satisfactory voltage levels at the connection point. This
may be achieved by installing additional reactive plant or reaching a
commercial agreement with ENERGEX to install, operate and maintain
equivalent reactive plant as part of the connection assets or by
alternative commercial arrangements with another party.
       (b) \f a Customer installs shunt capacitors to comply with power factor
requirements it must comply with ENERGEX's reasonable
requirements to ensure that the design does not severely attenuate
audio frequency signals used for load control or operations, or
adversely impact on harmonic voltage levels at the connection point.
      (c) The performance standard relevant to this clause is:
Pursuant to clause 36(2)(d) of the Electricity Regulation, ENERGEX
requires the Customer to ensure that the power factor of the
              Customer's load is:
        i. for low voltage supply to the Customer, at least 0.8 lagging; and
ii. for high voltage supply to the Customer, is within the range stated in
Schedule 5.3.5.2 of the National Electricity Rules.
