13     DEFINITIONS

 Annual Report           Means a report in the form of an annual financial report and a directors report as
                         mentioned in the Corporations Act 2001 (whether or not it is required to be
                         prepared under that Act) that without limitation includes audited financial
                         statements, achievements against key performance measures and other activities
                         included in the annual operational plan underpinning the objects of the Company
                         and the Trust

 Asset                   Means any asset or improvement acquired or produced wholly or partly by the
                         Funding OR Funds

 Council                 Means the local government exercising powers vested under the Local
                         Government Act 2009 and includes the area within the boundaries of Council’s
                         authority as prescribed under the Local Government Act.

 Council Logo            Means any indicia, logos, emblems, symbols or the like which are used by the
                         Council to brand and identify itself in its day to day activities.


 Council Material        Means any material, including without limitation, any software, code, designs,
                         photographs, drawings, music, film, print, layouts, documents, scripts, copy, logos
                         and any other materials in any medium, whether in hard or electronic form provided
                         by the Council to NBRF to further the purposes and objectives of the Trust and
                         includes, without limiting the generality of the forgoing, any material which
                         incorporates the expression “Noosa Biosphere” and “Noosa Biosphere Reserve”
                         or any deceptively or substantially similar expressions, or colourable imitations
                         thereof, and also includes the Trade Mark and the Domain Names.

 Domain Names            Means the following domain names registered in the name of the Council:
                         noosabiosphere.net.au;
                         noosabiospherereserve.org.au;
                         noosabiospherereserve.net.au;
                         noosabiospherereserve.com.au;
                         noosabiospherereserve.net;
                         noosabiospherereserve.info;
                         noosabiosphere.org.au
                         and any other future domain names, URLs, webpages or any other examples of
                         social or digital media Intellectual Property incorporating the expression “Noosa
                         Biosphere” which may be or are used by the NBRF for the purposes and
                         objectives of the Trust.

 Funding or funds        Means the amount paid or payable under this Deed

 GST                     Means the Goods and Services tax

 Intellectual Property   Means copyright, trademarks, designs, patents, semi-conductor or circuit layout
                         rights, trade secrets, trade names, business names, company names, domain
                         names and all other proprietary rights and any rights to registration of such rights,
                         whether created on, before or after the date of this Deed.

 NBRF                    Means Noosa Biosphere Reserve Foundation Ltd an Australian Company (limited
                         by guarantee) registered on 13th January 2015 - ACN 603 666 299
