relation to the non-fulfilment of a party’s obligations under this Deed (Dispute).

8.2 A Party raising a Dispute will give the other Party a notice of dispute setting out:

         (a) The details of the Dispute; and

         (b) The outcome sought by the Party in relation to the Dispute.

         determines otherwise.

8.6 Any Dispute that is referred to mediation must be mediated by a mediator appointed by the
parties in accordance with rules agreed by the parties or, if the parties cannot agree on
the appointment of a mediator or rules of mediation, a mediator appointed by and rules
determined by the President of the Queensland Law Society. The parties must attempt in
good faith to resolve the Dispute at mediation.

8.7 If the Dispute is not resolved at mediation the Parties agree to refer the Dispute to
Expert Determination within 28 days of the mediation, with such expert determination to
be conducted in accordance with the expert determination rules published by the
Resolution Institute current as at the date of this Deed.

         (a) continues for any further period agreed between the Parties, including to allow
the Parties to engage in further negotiations or engage in any other alternative
                   dispute resolution process; or

         (b) ends, if the Parties agree on terms for a resolution of the Dispute; or

         (c) ends on the date of a binding decision by the expert determiner pursuant to
                   clause 8.7.
