                                     Conflicting Interest.
                            (d) This clause constitutes notice that the Host Council has a Conflicting Interest
                                in relation to:
                                • Any variation to the ToR concerning the terms on which it acts as Host
                                     Council.
                                • Any removal of it as Host Council.
                                • Any consideration by the LfWSEQ Steering Committee of its
performance of its role as Host Council.
The above outlined procedures for managing a Conflicting Interest apply
                                accordingly.
                            (e) The Core and Affiliate Councils acknowledge and agree that:
                                • LfWSEQ is only one of many activities undertaken by each Core and
Affiliate Council. Except as expressly provided in the ToR, nothing in the
ToR restricts a Core or Affiliate Council from undertaking any of its other
activities or doing so in any manner and without any obligation (including
of disclosure) to the other Core or Affiliate Councils concerning the other
                                     activities.
                                • Except as expressly provided in the ToR, each Core and Affiliate Council
and its Representative can act in the Core or Affiliate Council’s discretion
and interests when exercising any voting or other discretionary rights and
powers under the ToR or otherwise in connection with LfWSEQ.

8.10 Subcommittees (a) The LfWSEQ Steering Committee can establish one or more
Subcommittees. Any Subcommittee formed or person or persons appointed
to the Subcommittee must, in the performance of the role delegated, conform
to any regulations that may from time to time be imposed by the Steering
                                Committee.
                            (b) Subcommittees are advisory only. They do not have delegated decision-
making authority from the LfWSEQ Steering Committee and do not have the
power to make decisions which bind the Steering Committee.
                            (c) At the commencement of the Period, the Strategic Subcommittee has been
                                established.
                            (d) Representatives of the Strategic Subcommittee can include:
                                • Any individual officers, employees, contractors or agents of a Core
                                      Council.
                                • The LfWSEQ Regional Coordinator or its Representative.
                            (e) Representatives of other Subcommittees excluding the Strategic
                                Subcommittee can include:
                                • Representatives, including the LfWSEQ Regional Coordinator.
                                • Any individual officers, employees, contractors or agents of a Core or
                                      Affiliate Council.
                            (f) A Subcommittee need not include an individual representing each Core or
Affiliate Council and can include multiple individuals from any Core or Affiliate
                                Council.
                            (g) In establishing a Subcommittee, the LfWSEQ Steering Committee must
determine its name, purpose and Subcommittee Representatives and can
determine any other requirements, such as activities, priorities, timeframes,
                                reporting and governance.
                            (h) A Subcommittee can determine its own activities, priorities, timeframes and
governance to the extent not determined by the LfWSEQ Steering
                                Committee.
                            (i) A Subcommittee may meet and adjourn as it thinks proper. The meetings
and proceedings of any Subcommittee are to be governed by the provisions
of these ToR for regulating the meetings and proceedings of the Steering
Committee so far as they are applicable.
