                 2        Our verification review is subject to the limitations, qualifications and assumptions set out in this Report. If any of our assumptions or qualifications are incorrect, our
                          findings may need to be reviewed or amended.

                   a      We have not taken any steps to verify the assumptions set out in this Report and assume, with respect to each addressee of this Report, that the addressee does not
                          know or suspect that any of those assumptions is incorrect. We have not made specific enquiries beyond the steps that are stated in this Report.

                          Our review

                 23       This Report has been prepared solely for the purpose of providing Council with an overview of the legal matters within the scope of our review and in accordance with
                          the terms of our engagement by Council. We have followed the Council's instructions when preparing this Report (which may not always be referred to in this Report).

                 2.4      In accordance with our scope of work set out in section 1 of this Schedule 2 and applying the Materiality Criteria, we have reviewed only the Review Materials.

                 25       This Report is limited to the matters expressly referred to in this Report and should not be extended by implication. This Report was prepared on an “exceptions only”
                          basis, which means it does not comprehensively report on all documents reviewed or investigations made and instead reports on the material legal issues identified in
                          accordance with the Materiality Criteria. While this Report may include some material which is not strictly required in a report of this nature, the inclusion of that
                          material does not expand the scope of this Report.

                 2.6      This Report is limited to the Project and does examine if there are any issues relating to the Council itself.

                 at       We are not responsible for the representations, opinions or findings of any other person that may be referred to in this Report or the information provided to us. In
                          particular, Council may not have considered certain matters to be material matters to bring to our attention.

                 2.8      We do not have any obligation to inform you of any matter coming to our attention after the date of this Report that relates to or affects this Report.

                          Status of information provided to us

                 2.9      Although we have made every effort to ensure that the contents of this Report are accurate, we have not attempted to independently verify or audit the information that
                          has been given to us. In particular, we have not conducted any searches of public databases.

                 2.10     We have assumed that:

                          (1)      except where apparent from the information provided, all information provided to us (regardless of form) is true and complete in all respects (and if an opinion
                                   or belief, is honestly and reasonably held), is not misleading, and where applicable, is based on reasonable assumptions following proper enquiries, and no
                                   other relevant information exists;
                          (2)      all persons who answered our questions or otherwise provided us with information (whether verbally or in writing) were competent and duly authorised to
                                   provide that information and there were no other persons we should have requested information from in each circumstance;
