ORDINARY MEETING AGENDA 18 DECEMBER 2014

Following this process, and in full consideration of all the input received, Council proposed a draft
Noosa Biosphere Reserve Management Model. Input on the proposed model was again sought
from the community and Community Sector Boards through a series of consultations in April
2014.

On 29 May 2014, Council adopted the new Biosphere Reserve Management Model and an
implementation plan. Formal documents for the Noosa Biosphere Reserve Trust and the
Constitution of Noosa Biosphere Reserve Foundation Ltd. were adopted by Council at its
Ordinary Meeting on 20 November 2014.

With the winding up of the previous Noosa Biosphere Reserve (NBR) governance entity, Noosa
Biosphere Limited (NBL) at its AGM on November 24 this year, the focus is now on progressing
the appointment of First Directors of the Noosa Biosphere Reserve Foundation Ltd and to
progress the establishment of the Foundation and Trust.

The role of Director is to provide strategic direction and governance (including financial

natural environment.

The Constitution provides for the appointment of at least six and not more than eight Directors of

persons decided by Council and named as Directors in the application for incorporation of the
company. First Directors will be eligible for re-appointment at conclusion of the initial term.

The First Directors will be comprised of:
(1) two Directors who will have a term of one year;
(2) three Directors who will have a term of two years;
(3) two Directors who will have a term of three years, and
(4) one Director appointed by the Founding Member (Noosa Council).

An Expression of Interest for the roles of First Directors was advertised in the Noosa News on 18
November 2014 and closed on 5 December 2014. Interested persons were asked to make
application to Council detailing their personal particulars, qualifications, affiliations, skills, areas of
expertise and reasons for applying. Twenty three applications were received and assessed on
the basis of the applicant’s professional and interest skills including but not limited to the areas
of:
 Professional leadership experience;
 Business management experience;
 Acumen in economics;
 Scientific expertise or understanding, particularly in biological or earth sciences;
 Experience or understanding of sustainability measures;
 Community engagement experience;
 Experience in media and communications; and

Consideration was also given to the requirement for the majority of Directors to be Publicly
Responsible Persons. A Publicly Responsible Person is one who has a degree of responsibility
within the community and satisfies the requirements within Taxation Ruling TR95/27 Income Tax.

There was a particularly strong group of candidates that submitted Expressions of Interest will
augers well for the future of the Biosphere governance arrangements.
