ORDINARY MEETING AGENDA 18 DECEMBER 2014
Constitution of Noosa Biosphere Reserve Foundation Ltd.
Council at its Ordinary Meeting on the 20 November 2014 previously considered the proposed
legal documents for the Noosa Biosphere Reserve Trust and the Constitution of Noosa
Biosphere Reserve Foundation Ltd. As a result of further review of the documents, an
amendment to Clause 8 of the Constitution is proposed to give effect to the Council appointed
Director always being an elected Councillor appointed by Council. Further, it is intended that the
Councillor would only hold that role of Director while they were still a Councillor (i.e. if the person
no longer held the office of Councillor, they would no longer hold office as the Council
representative on the Board). To ensure that the role of the Council representative on the board
is periodically reviewed, it is also intended that the appointment to the Board as the Council
representative would be required to be reviewed by the Council every three years.
Approval is sought for the Chief Executive Officer to be authorised to liaise with Council’s legal
representatives to effect the proposed amendment and finalise the documentation.
